PUSHTYPE End User License Agreement

DRAFT. Not legal advice. Have a California-licensed attorney review this before the first paid sale. Placeholders are in [brackets].

Effective: [date of first paid release]

This agreement is between you and Elias Atalah, an individual doing business in California ("we", "us"). It covers the PUSHTYPE application for macOS (formerly called PUSH), its updates and its documentation (together, "PUSHTYPE"). By installing or using PUSHTYPE, you agree to it. If you don't agree, don't install PUSHTYPE, and ask for a refund if you've already paid (see the Terms of Sale).

1. Your licence

When you buy PUSHTYPE, we grant you a personal, non-exclusive, non-transferable, perpetual licence to install and use PUSHTYPE on up to three (3) Macs that you own or control, for any lawful purpose, personal or commercial. Each additional Mac needs an additional seat, sold separately.

The licence belongs to the person who bought it. Buying for a team means one licence per person, unless we agree otherwise in writing.

2. Updates

Your purchase includes every update to PUSHTYPE for macOS that we release, at no extra charge and without a subscription. We intend to keep improving PUSHTYPE. We don't promise a particular update schedule, feature or length of support.

Products for other platforms, and separate products we may release later, are not included unless we say so when you buy.

3. What you may not do

You may not, and may not help anyone else:

4. Open-source components and models

PUSHTYPE includes open-source software, and PUSHTYPE downloads open speech and typing models that run on your Mac. Each is licensed to you under its own terms, listed in Third-Party Notices (inside the app at PUSH.app/Contents/Resources/Legal, and on our website). Nothing in this agreement limits your rights under those licences.

Earlier versions of PUSHTYPE, up to and including version 8.2.2 (then called PUSH), were published under the MIT License. Those copies stay under the MIT License. This agreement covers the versions released after it.

5. Your content and privacy

PUSHTYPE turns your speech into text, and suggests how your sentences go on, on your Mac. We never receive your audio, your transcripts or what you type, and we claim no rights in them. The Privacy Policy describes the few network connections PUSHTYPE makes.

6. Ownership

PUSHTYPE is licensed, not sold. We, and our licensors where applicable, keep all rights in PUSHTYPE that this agreement doesn't expressly grant you. "PUSHTYPE", "PUSH" and the PUSHTYPE icon are our trademarks.

7. Ending the licence

You can stop using PUSHTYPE at any time. The licence ends automatically if you materially break this agreement and don't fix it within 14 days of our notice. When it ends, delete PUSHTYPE from your Macs. Sections 6, 8, 9 and 10 still apply afterwards.

8. Warranty disclaimer

Speech recognition and typing suggestions make mistakes. Check what PUSHTYPE types, and the suggestions you accept, before you rely on them, especially for medical, legal, financial or safety-critical text.

TO THE EXTENT THE LAW ALLOWS, PUSHTYPE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. Some places don't allow these exclusions, so some of them may not apply to you.

9. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS OR REVENUE, ARISING FROM PUSHTYPE OR THIS AGREEMENT. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR PUSHTYPE. These limits don't apply where the law forbids them, such as for death or personal injury caused by negligence, or for fraud.
